1. Acceptance of Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client” or “User”) and AI Commerce (“Company,” “we,” or “us”), governing your access to and use of our website at aicommerce.in and all related digital services. By accessing our website or engaging our services, you agree to be bound by these Terms.
2. Description of Services
AI Commerce provides AI-powered digital growth services including, but not limited to:
- D2C Brand Building and Marketplace Launch & Growth Systems
- Performance Marketing and Paid Advertising Management
- SEO, AEO, and Content Marketing Solutions
- Social Media Management and WhatsApp Marketing
- Web Design, Development, and Website Management
- AI Creative Studio: product imagery, videos, and creative automation
- AI Marketing Automation: content calendars, ad copy, product descriptions
- B2B Business Solutions and Lead Generation
Service scope, timelines, deliverables, and fees are governed by individual Service Agreements or Proposals executed between the Client and AI Commerce.
3. Eligibility
Our services are intended for businesses, brands, and professionals. By using our services, you represent that: (a) you are at least 18 years of age; (b) you have the legal capacity to enter into binding agreements; and (c) all information you provide is accurate and complete.
4. Client Responsibilities
As a client or user, you agree to:
- Provide accurate business information, brand assets, and required access credentials in a timely manner
- Obtain all necessary rights, licences, and permissions for content, trademarks, and materials you supply to us
- Review and approve deliverables within agreed timelines to avoid project delays
- Not use our services for any unlawful, deceptive, or fraudulent purpose
- Maintain the confidentiality of login credentials for any platforms we manage on your behalf
5. Fees, Payments, and Refunds
Fees for services are outlined in the applicable Service Agreement or Proposal.
- Payments are due as per agreed schedules (monthly retainers, project milestones, or one-time fees)
- Invoices are issued in Indian Rupees (INR) inclusive of applicable GST
- Late payments may attract a penalty of 2% per month on the outstanding amount
- Refunds are not available for services already rendered or for ad spends managed on third-party platforms
- AI Commerce reserves the right to suspend services in the event of non-payment
6. Intellectual Property
Upon full payment, the Client owns all custom deliverables (e.g., website design, creatives, copy) created exclusively for them. AI Commerce retains ownership of:
- Proprietary methodologies, frameworks, templates, and internal tools
- Pre-existing intellectual property used or adapted in delivering services
- The right to showcase completed work in portfolios and case studies (without disclosing confidential business data unless written consent is provided)
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary business information exchanged during the engagement. This obligation survives termination of the service agreement. Neither party shall disclose confidential information to third parties without prior written consent, except as required by law.
8. Third-Party Platforms and Ad Spends
AI Commerce manages campaigns on third-party platforms including Google Ads, Meta, Amazon, Flipkart, and others. The Client acknowledges that:
- Third-party platform policies govern ad performance, account suspensions, and policy compliance
- Ad budgets are the Client’s direct expenditure; AI Commerce is not liable for platform-imposed restrictions or ad account bans
- Platform algorithms, market conditions, and seasonality may affect campaign results
- AI Commerce will use commercially reasonable efforts to achieve agreed targets but does not guarantee specific results
9. Limitation of Liability
To the maximum extent permitted by applicable law, AI Commerce shall not be liable for any indirect, incidental, consequential, or punitive damages arising from: (a) use or inability to use our services; (b) third-party platform decisions or algorithm changes; (c) loss of revenue, data, or business opportunities. Our aggregate liability shall not exceed the fees paid by the Client in the three months preceding the claim.
10. Indemnification
The Client agrees to indemnify and hold harmless AI Commerce, its directors, employees, and agents from any claims, losses, liabilities, or expenses (including legal fees) arising from: (a) the Client’s use of our services; (b) any content or materials provided by the Client; or (c) the Client’s violation of these Terms or applicable laws.
11. Term and Termination
Service engagements commence on the date specified in the Service Agreement. Either party may terminate services by providing written notice as per the notice period in the applicable agreement (typically 30 days). Upon termination:
- AI Commerce will deliver all completed work and transfer relevant credentials
- The Client shall pay for all work completed up to the termination date
- Confidentiality obligations survive termination
12. Dispute Resolution
In the event of any dispute, the parties shall first attempt to resolve it through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with a sole arbitrator appointed by mutual agreement. The seat of arbitration shall be Surat, Gujarat.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Subject to the arbitration clause above, the courts of Surat, Gujarat shall have exclusive jurisdiction over any disputes.
14. Amendments
AI Commerce reserves the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Continued use of our services after the posting of changes constitutes acceptance of the revised Terms.
